BLOOM TERMS OF SERVICE (Beta)

PLEASE READ THESE TERMS OF SERVICE ("Terms") CAREFULLY. THEY FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU ("you" or "User") AND ALTO CREATIVE TECHNOLOGY INC. ("Company," "we," "our," or "us") GOVERNING YOUR ACCESS TO AND USE OF BLOOM (THE "SERVICE"). BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. OVERVIEW OF THE SERVICE

Bloom is a web-based software platform designed for creative and production teams to streamline workflows, improve productivity, and manage creative assets. As part of our Beta launch, we are currently offering Bloom References, a feature that enables users to save, organize, and access visual references from various sources in a centralized workspace.

Users can submit links and references to their Bloom account either by manually uploading them through the web-based interface or by texting supported content to a designated toll-free number (TFN) from a verified phone number associated with their account.

Future features, including collaboration, team management, and paid plans, are under development and may be released, modified, or removed at our discretion.

1A. SMS CONSENT AND USAGE

Bloom may offer SMS functionality for specific tools or workflows, such as Bloom References, which allows users to text supported links or media to a designated toll-free number (TFN) associated with their account. Use of this feature is optional and requires explicit, standalone opt-in from within the logged-in Bloom account.

TFN usage is strictly user-initiated and reserved for utility-based functions. By enabling this feature, users consent to receive limited, non-promotional SMS messages solely related to the feature’s functionality—for example, confirming that a reference has been saved, or requesting clarification about submitted content. No outbound marketing, advertising, or promotional content will be sent via SMS in connection with Bloom References.

2. ELIGIBILITY

You must be at least 13 years old (or the minimum age of digital consent in your country) and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and are not prohibited from using the Service under applicable law.

3. ACCOUNT REGISTRATION & SECURITY

3.1 You must create an account to use most features. You agree to provide accurate, up-to-date information and to keep your credentials secure. You are responsible for any activity under your account.
3.2 Each account is intended for individual use. Account sharing is not permitted.

4. USER CONTENT & LICENSES

4.1 "User Content" includes any links, media, text, or other materials you upload, text, or otherwise submit to the Service.
4.2 You retain ownership of your User Content. You grant us a limited, non-exclusive, royalty-free license to store, process, and display this content solely to provide and improve the Service.
4.3 You represent and warrant that you have the right to submit the content and that doing so does not violate any applicable laws or third-party rights.
4.4 You are responsible for ensuring that any content you submit—especially from third-party sources—complies with copyright and platform-specific terms. Bloom acts solely as a storage and organization tool on your behalf and claims no ownership of content sourced from third parties.

5. INTELLECTUAL PROPERTY

The Service (including design, software, documentation, and trademarks) is owned by Alto Creative Technology Inc. and its licensors. Except for the rights granted to you under these Terms, all rights are reserved.

6. ACCEPTABLE USE

You agree not to:

Violate any applicable law;
Infringe any third-party rights;
Upload harmful code or attempt unauthorized access;
Use bots or automation to scrape or abuse the system;
Impersonate another person or entity;
Reverse engineer any part of the Service (except where legally permitted);
Submit content containing public URL shorteners (e.g., bit.ly, tinyurl, ow.ly)

7. PRIVACY

Compliance Commitment
Bloom is a first-party software platform and does not engage in affiliate marketing, third-party lead generation, or resale of user data. We do not share phone numbers, SMS activity, or user-submitted content with external partners, advertisers, or data aggregators. All data remains confined to the user’s private workspace. We maintain an active commitment to transparency and regulatory compliance in alignment with SMS carrier and industry standards.

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using Bloom, you consent to the practices described therein.

We take reasonable measures to secure your data, but no system is completely secure. Please use the Service with discretion and report any concerns to support@bloom.site.

We do not share your personal data, SMS activity, or contact information with affiliates, partners, or third parties for marketing or lead generation purposes. Any third-party links displayed within the Bloom site are informational only and do not reflect data sharing or consent transfer. Bloom operates under a strict first-party data policy and is fully committed to user privacy and compliance.

8. BETA DISCLAIMER

Early Access & Pre-Launch Notice
Bloom is currently in private beta. Some documentation or support features may still be under development. By using the Service, you acknowledge that Bloom is not yet fully launched and that certain areas of the product or site may continue to evolve during this period.

Bloom is currently in Beta and may contain bugs, incomplete features, or limited support infrastructure. We provide the Service on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind.

9. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be error-free or uninterrupted.

10. LIMITATION OF LIABILITY

We are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability to you for any claims will not exceed $100 or the amount you paid us (if any) in the 12 months prior to the claim—whichever is greater.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Alto Creative Technology Inc. and its affiliates from any claims, liabilities, or expenses arising out of your use of the Service, your User Content, or your breach of these Terms.

12. TERMINATION

Opt-Out of SMS Communications
Users may opt out of SMS functionality at any time by disabling the feature in their account settings or by contacting support at support@bloom.site. Once disabled, they will no longer receive any utility-based messages or notifications via SMS.

We may suspend or terminate your account at any time, for any reason, with or without notice. You may request to delete your account by contacting support@bloom.site. Deleting your account may result in permanent loss of stored references and data.

13. MODIFICATIONS TO SERVICE OR TERMS

We may modify these Terms or the Service at any time. If we make material changes, we will notify you via the platform or email. Continued use after changes go into effect constitutes acceptance.

14. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware. Disputes will be resolved in the courts of New Castle County, Delaware.

Your notice must comply with 17 U.S.C. § 512(c)(3).

16. EXPORT & SANCTIONS COMPLIANCE

You may not use the Service if you are subject to U.S. sanctions or located in a country embargoed by the U.S.

17. FEES & PAID FEATURES

While the current Beta is free to use, some features may require a paid subscription in the future. We reserve the right to adjust access levels, and features currently available at no cost may later be included in paid tiers.

Before any fees are charged, you will be provided with clear notice, including pricing, feature availability, and applicable billing terms. Unless otherwise stated, all payments are final and non-refundable.

18. MISCELLANEOUS

These Terms represent the entire agreement between you and us. If any provision is found unenforceable, the rest remain in full effect. You may not assign your rights without our consent. We may assign these Terms as part of a reorganization, acquisition, or sale.
